Board Members, Insiders Question Multimillion-Dollar Contract Pushed by Water District CEO

CEO expedites single source contract without a competitive bid process and awards it to a firm with an inside connection to the water district. Tony Kovaleski reports. (Published Friday, Jul 17, 2015)

There are no questions about the severity of California’s drought. Its impact is evident everywhere: brown grass, serious water restrictions and parched reservoirs. But board members and insiders at a South Bay water district question recent decisions made by its CEO to take emergency action and seek approval of a project designed to increase Silicon Valley’s dwindling water supply.

“If it was a normal year we would move down a normal path to address this,” said Beau Goldie, CEO of Santa Clara Valley Water District. “But we are not in a normal year. We don’t know how long this drought is going to last.”

Earlier this year, Goldie expedited a $10 million single source contract without a competitive bidding process, which would have allowed other qualified companies to propose work on the project. The project is intended as a drought solution, but won’t pay water dividends for at least five years.

“Ten million dollars is a lot of money,” said board member Barbara Keegan. “To award contracts without any outside scrutiny, I think it is troubling and that concerned me.”

Keegan voted against the proposal. She, along with board chair Gary Kremen, voiced concern about the single source nature of the contract at an April 28 board meeting.

“I think single-source contracts, unless it’s an absolute emergency like a dam collapsing tomorrow, are a bad idea,” Kremen said in a recent interview with NBC Bay Area. “It shows lack of planning.”

Prior to the meeting, the water district’s director of procurement wrote to staff that the decision to choose the selected firms based on prior knowledge about the district’s master plan is not a strong enough reason on its own. In an April 15 email he wrote, “It will be difficult to argue that these selected firms are the best without any peer comparison or any mention of the criteria for evaluation or selection.”

Yet it was not until after the April board meeting that board members became aware of an inside connection between the district and one of the contract winners, RMC Water and Environment. One of its principal owners is married to an executive staff member at the district who is currently the sixth-highest paid employee in a district with approximately 1,000 staffers.

Public economic interest disclosure forms, show Melanie Richardson, the Deputy Operations Officer for the Watershed Design and Construction Division, has held between $100,000 and $1 million in RMC stock. The forms also show her husband, Tom Richardson, is a principal, paid more than $100,000 a year by RMC.

Both Kremen and Keegan question why Goldie did not disclose that relationship prior to the board’s vote.

“I don’t believe this has been the most transparent process,” Keegan said. “And so if I don’t believe that, it wouldn’t surprise me that there are people within the organization that feel the same way.”

Whistleblowers from inside the water district have reached out to the NBC Bay Area Investigative Unit since April to express concern. “Check recent single source contract done without competitive bidding,” a letter sent to the NBC Bay Area Investigative Unit read. The letter also included, “Wife of key RMC consultant is on leadership team of district” and “Decision not without influence.”

Goldie does not see the relationship as a conflict of interest.

“Looked at it a number of years ago,” Goldie said. “It’s a dead issue. We found that there’s not a conflict.”

He says the district has a “firewall” in place to insulate Richardson from decisions involving RMC, which has received $18 million in contracts with the district since 2004. Goldie also denies that he executed a favor for one of his high-ranking deputies.

“That’s flat out wrong,” Goldie said. “We are not doing a favor for any individual. We are doing work for Silicon Valley as a whole.”

The president of RMC addressed the relationship in a statement provided to NBC Bay Area. “We have always understood that appropriate policies and practices are in place at the district to assure that the highest standards of professional integrity are adhered to in its contracting process, including preventing potential conflicts-of-interest. With regard to the contract in question, the District staff, legal department, and board of directors recommended selection of RMC with full knowledge of RMC’s project manager’s marriage to a District employee,” the statement read.

In a separate emailed statement, Melanie Richardson wrote that she is “not part of any communications that pertain to services being performed now or in the future by RMC.” She continued, “I recognized the potential for conflicts of interest years ago and have done everything I can to avoid true or even perceived conflicts. I truthfully acknowledge my financial relationships in my annual Statement of Economic Interests (Form 700), a public document. I have been extremely diligent in staying clear of any communications or decisions related to the company where my husband works.”

Ultimately, the multimillion-dollar drought solution passed with a 5 to 2 vote. Goldie said he wouldn’t change anything about how he sought board approval. But board chair Gary Kremen has called on the CEO to suspend negotiations with RMC until the conclusion of an external investigation.

“I am going to call on my fellow board members to stop this,” Kremen said.

Goldie said it will take a new vote by the board to halt the current single source contract. Some board members who voted for the drought relief proposal recently told the Investigative Unit they would not change their vote. Others said they join Kremen’s call for an outside investigation.

C. The audio visual system should be able to support a virtual Boardroom that allows for virtual
participation of the public and social media (Upon approval by the Board).
D. The system should be able to support an electronic voting (e-voting) system (Upon approval by the
Board) in the near future.
E. Implement an end-to-end system that complies with the latest standards of high definition broadcast.
F. Based upon the stakeholder review, incorporate new features and enhancements to improve the
experience of a Boardroom event.
BACKGROUND:
The current audio visual system was designed in 1997 and built in 2000. The core and the functionality of the
system was analog-based. A minor retrofit was performed in 2006 to add additional features based upon user
feedback.(THIS IS UNTRUE OVER $100K HAS BEEN SPENT IN THE BR ITS FULLY DIGITAL, THEY JUST WILL NOT TELL THE BOARD WHAT THEY HAVE, THE LAST UPGRADE WAS NOT FROM USER FEED BACK BUT TO UPGRADE THE SYSTEM, ALMOST $80K AND ANOTHER $40K HAS BEEN SPENT SENSE THEN BUT THE IT DEPT REFUSES TO TELL THE TRUTH, GET THE DOCUMENTS FROM PURCHASING, THEY HAVE UNUSED EQUIPMENT, OPEN PO ETC, ASK THE WORKERS NOT THE LAIRS.)

The technology is obsolete, and very hard to support and maintain on a regular basis. The reliability of this outdated ( JUST PROGRAM WHAT YOU NEED AMX CAN DO VOTING AND THERE ALREADY IS A UHF ASSISTED LISTING, ALONG WITH VIDEO OR AUDIO CONFERENCING, WHICH COULD BE DONE VIA NETWORK INSTEAD OF T3, BUT WE BOUGHT VIDEOCONFERENCING STILL STATE OF ART IN 2006 OVER $50k, OH AND OVER 30 VENDORS IN THE BAY WILL HELP WORK ON THE SYSTEM)
system is unpredictable, and on many occasions it has experienced failures. Such failures sometimes
have resulted in expensive repair costs, and potential delays in bringing the system online for the meetings.
Another challenge Finding professional support for the existing system by mainstream vendors and
manufacturers is also very challenging. The components of the system also do not meet the latest ENERGY
STAR rating standards.
The new system will enhance transparency as recommended in the recent audit. It will also provide a better ( IF THIS IS TRANSPARENT WERE IS THE 15 PAGES REPORT DROPPED OFF OR THE INFO AT LAST AV Upgrades
customer experience online when community members are viewing Board meetings remotely. ( that can happen via amx which there is open po.\)

the experiences, anger, disappointment and chagrin at some of the
practices which are prevalent in the District. The high levels of feelings …
is readily apparent. The statements are generally well organized,

? There is a perception that favoritism and power politics were the
pathway for
upward mobility.
? Membership in a minority group or low status job results in distinctly different
experiences from white professional males. “These out groups are not restricted
nor defined by color but may be any subset of persons who are not in favor with
the group in power. ”
? There are perceived issues of status and hierarchy inequities in terms of training,
access to travel.
? There are integrity issues in terms of not reporting sick time, stealing, lack of
confidentiality.
? Affirmative Action Office – was perceived not to be objective and to have total
control for all job actions.
? There were overt acts of racial or sexual discrimination.
The report concludes with the admonishment that there were ‘glaring issues which,
unless addressed by the leadership may become the Achilles heel for a well situated
and financially solvent organization. These issues are not likely to disappear over time
or through attrition. .. The issues come with strong feelings. The report concludes with
recommendations to develop an action plan with top management ownership, to analyze
the data on staff in terms of composition, grievances, complaints, to develop
accountability systems for managers in terms of employee productivity, communications.
